Vertical Systems provides online mentorship, education, and advisory services designed to help individuals build and scale AI agencies. Services may include training materials, live or recorded sessions, frameworks, tools, and strategic guidance.
2. Eligibility
You must be at least 18 years old to use our services. By engaging with our services, you represent that you have the legal authority to enter into these Terms on behalf of yourself or any entity you represent.
3. Payments
All payments are processed through Stripe and/or Whop. By purchasing our services, you agree to the pricing, billing terms, and payment schedule disclosed at checkout or during onboarding.
Failure to make payments when due may result in suspension or termination of access to services without notice.
4. Conditional Refund Policy
Refunds, if offered, are conditional and evaluated on a case-by-case basis, subject to the specific refund terms disclosed at the time of purchase.
Refund eligibility may depend on factors including (but not limited to):
Completion of required onboarding steps Demonstrated good-faith participation Time elapsed since purchase
All decisions regarding refunds are made at the sole discretion of Vertical Systems.
5. Confidentiality
We agree to maintain the confidentiality of any non-public personal or business information you share with us, except where disclosure is required by law.
You agree to keep confidential all proprietary, confidential, or non-public information, materials, strategies, systems, and processes shared with you through our services. Breach of confidentiality may result in immediate termination of access without refund.
6. Intellectual Property & Content Ownership
All content, materials, systems, frameworks, templates, recordings, and strategies provided by Vertical Systems are the exclusive intellectual property of Vertical Systems.
You are granted a limited, non-transferable, non-exclusive license to use the materials for your personal or internal business use only.
You may not:
Copy, resell, redistribute, or sublicense materials Share access with third parties Repurpose content for commercial resale
Violation of this section may result in immediate termination and legal action.
7. Disclaimers
We make no guarantees regarding income, revenue, profit, or business success. Results vary based on individual effort, skill, experience, and market conditions. Our services are provided for educational and informational purposes only. You are solely responsible for your business decisions and outcomes.
8. Late Payments & Termination
If payment is late or fails, we reserve the right to:
Suspend or terminate service access Revoke content access Pursue collection of outstanding balances where applicable
Termination for breach does not relieve you of payment obligations already incurred.
9. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Canada.
Any disputes shall be resolved exclusively in the courts of Canada, in a jurisdiction deemed appropriate by the Company.
10. Changes to Terms
We reserve the right to update or modify these Terms at any time. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
